Acceptance of terms
By accessing or using Lightswap ("Service"), operated by Lightswap Inc., a Delaware C Corporation ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Description of service
Lightswap is financial software for small businesses. It connects to the accounts and tools a business already uses, works out where the business stands, and tells the owner what needs their attention.
Core capabilities include:
- Account and tool connections — read balances, transactions, invoices and payouts from connected banks, accounting software and payment providers
- Cash forecasting — project the balance forward from known commitments and expected receipts
- Attention and prepared actions — identify what needs a decision, explain why, and prepare the next step for you to review
- Natural language questions — ask about your own figures in plain English
We do not hold or move your money. Lightswap is not a bank, a payment institution, or a money services business. Connections to third-party services are made through secure, permissioned API integrations, and we do not store your login credentials for those services. Where the Service prepares an action — a transfer, a payment, a reminder to a customer — it is prepared for you to carry out. Lightswap does not execute it on your behalf.
2.1 Legacy consumer application
Lightswap previously offered a personal finance application for individuals, including a non-custodial Bitcoin wallet and connections to brokerage and cryptocurrency exchange accounts. That application is no longer under active development and is not offered to new users.
The purchase of Bitcoin or any other cryptocurrency through Lightswap is discontinued. The Service no longer provides a fiat-to-crypto purchase facility, and Lightswap does not sell, exchange, or broker cryptocurrency. Where a legacy user retains a connection to a cryptocurrency exchange or a non-custodial wallet, Lightswap reads balances only; private keys remain on the user's own device and we have never had access to them.

Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.
You are responsible for compliance with all applicable laws and regulations in your jurisdiction, including those related to cryptocurrency transactions, taxation, and financial services.

User responsibilities
You agree to:
- Maintain the security of your account credentials, private keys, and API keys
- Review and verify all transactions before confirmation
- Use the Service only for lawful purposes
- Not attempt to circumvent security measures or access unauthorized areas
- Not use the Service in any way that could damage, disable, or impair the Service
- Comply with all applicable laws, including anti-money laundering (AML) and know-your-customer (KYC) regulations
4.1 Prohibited activities
You may not use the Service for:
- Illegal activities including money laundering, terrorist financing, fraud, or any other criminal activity
- Activities prohibited by applicable sanctions laws and regulations (including OFAC, EU, and UK sanctions)
- Accessing an organisation’s financial data without the authority of that organisation
- Circumventing access controls through the creation or use of multiple accounts
- Any activity that violates the terms of service or acceptable use policies of our integration partners
Additional compliance requirements may be enforced by our integration partners, and your ability to connect a particular provider is subject to that provider’s own checks and geographic restrictions.

Risks and disclaimers
Figures are estimates, not statements of account: balances, forecasts and totals shown by the Service are derived from data supplied by third-party providers and may be incomplete, delayed, or out of date. They do not replace your bank statements or your accounting records, and you should not treat them as a reconciled position.
Cryptocurrency risks (legacy connections only): where you retain a connection to a cryptocurrency exchange or a non-custodial wallet under section 2.1, you acknowledge and accept the risks associated with cryptocurrency, including but not limited to:
- Price volatility and potential loss of value
- Irreversibility of blockchain transactions
- Risk of loss due to forgotten passwords, lost private keys, or technical failures
- Regulatory uncertainty and potential changes in legal status
- Security vulnerabilities in third-party exchanges and wallets
No financial advice: the Service is a software tool only. We do not provide financial, investment, legal, or tax advice. Any information provided through the Service is for informational purposes only and should not be construed as advice.
Third-party services: Lightswap integrates with third-party banks, accounting providers, payment processors and, for legacy connections, exchanges and wallets. We are not responsible for the actions, security, availability, or policies of these third parties, and an interruption at a provider may leave the Service showing an incomplete picture.

Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTSWAP INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Indemnification
You agree to indemnify, defend, and hold harmless Lightswap Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another party.

Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may discontinue use of the Service at any time.
Upon termination, all rights and licenses granted to you will immediately cease, though provisions regarding limitations of liability, indemnification, and dispute resolution shall survive.

Privacy and data
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Modifications to terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
